TSX & TSX-V

The Toronto Stock Exchange comprises the TSX, the oldest stock market in Canada, and the TSX Venture Exchange (TSXV), a specialized market for venture companies. Companies listed on the TSX are primarily large, blue-chip companies, but it also sets listing standards for companies considering going public. The TSXV focuses on small and medium-sized companies and venture companies and is subject to more relaxed listing requirements, including financial criteria, compared to the TSX.

Companies listed on the TSX and TSXV have access to North American capital markets, one of the world’s largest capital pools. With a wide investor base providing liquidity, TSX/TSX-V serves as access points to international capital pools for companies seeking growth and expansion capital.

The Toronto Stock Exchange & TSX Venture Exchange have also developed a flexible approach to raising public capital.

Initial Public Offering
(IPO)

An IPO requires completing an application for listing and filing a prospectus with the applicable Canadian securities regulators.

Capital Pool Company

(CPC)

The CPC Program is a unique listing vehicle particularly suitable for smaller companies going public. It connects experienced investors with private companies by dividing the traditional IPO process into two: creating the CPC public vehicle shell and completing the Qualifying Transaction (QT).

Reverse Takeover

(RT)

Reverse takeover transactions allow a private company to merge with a TSX- or TSXV-listed company or shell.
